Terms of Service

1. Acceptance of Terms of Service

This service is provided to you, subject to the following Terms of Service which may be updated by us from time to time without notice to you. In addition, when using WorkforceBR.com, Workforce Business Review or Starhawk Systems LLC services directly or through distributors and affiliates, you shall be subject to any guidelines or rules applicable to such services which may be posted from time to time. All such guidelines or rules are hereby incorporated by reference into the Terms of Service. Starhawk Systems also offers other services which are subject to different Terms of Service.

2. Privacy

THE POLICY OF WORKFORCEBR.COM AND STARHAWK SYSTEMS LLC IS AND HAS ALWAYS BEEN TO KEEP YOUR PERSONAL AND ORGANIZATIONAL INFORMATION PRIVATE AND CONFIDENTIAL. Protecting your privacy is important to us. We hope the following statement will help you understand how WorkforceBR.com and Starhawk Systems LLC collects, uses and safeguards the personal information you provide to us on our web sites. By using our services, you agree to WorkforceBR.com’s Privacy Policy. You agree to allow us to gather key contact and usage information in order to be able to effectively deliver our services. The information that we capture is used to make your experience better and to ensure that you have all of the information that you need regarding the services that you are utilizing or may want to utilize.

i) Information You Give Us

You agree to allow WorkforceBR.com and Starhawk Systems LLC to store your information in our database. This information will not be sold to any third parties for marketing or promotional purposes. Some of the information that we ask for is optional, so you can choose to provide us with the minimum amount of information required. This information will be used by WorkforceBR.com and Starhawk Systems LLC to communicate with you, manage your account, and other related purposes.

ii) Cookie Usage (digital identifiers)

You agree to allow WorkforceBR.com and Starhawk Systems to use cookies to track your account and provide you with the full use of our services while online. You can use cookie blocking technology, but in doing so you understand that some of the online tools and functionality on our web site will not be available to you.

iii) Partners, Affiliates, & Instructors

Starhawk Systems partners with instructors, and partners to deliver content, events, training and other services. By agreeing to our terms of usage, you understand and agree that WorkforceBR.com and Starhawk Systems can’t be held liable for the actions of its partners or affiliates. We do our best to ensure that our partners are reputable and responsible, but ultimately, their actions are out of our control.

We will ensure that our partners and affiliates are only provided with the minimal amount of information required to deliver their content and services successfully, and that information will not include your credit card information or any other critical information. In most cases, we only share your name and organizational information for seminars and related event registration to our partners and affiliates. However, by using our site, you do agree to allow WorkforceBR.com and Starhawk Systems to communicate with you on behalf of our partners and affiliates.

By using our site, you understand and agree to allow us to use 3rd party contractors and service providers to manage the delivery products, tickets, packages, mailings, marketing, secure credit card processing and other activities that are necessary for the success of our business.

iv) Change of Ownership

By using our services, you understand and agree that in such case that WorkforceBR.com and Starhawk Systems LLC is acquired, sells assets, or performs other sale or business transfer activities, your information will be transferred as part of that activity.

If Starhawk Systems is required to provide your personal information to Federal or State Government agencies as part of an investigation, you agree to hold WorkforceBR.com and Starhawk Systems free of all liability.

Other than those instances outlined above, WorkforceBR.com and Starhawk Systems LLC will provide you with notice when information about you is going to be shared with 3rd party’s and you will have the option to withhold your information.

Credit card transactions are performed using secure site services that are provided by commercial banking services. For your safety, we use only reputable banking services for our online transactions.

Security is the responsibility of the user. Starhawk Systems will not assume any liability for your improper use of your own laptop in terms of failing to shut down your log in account.

If you are under 18, you are not eligible to utilize our site services without the involvement of an adult that is 18 years of age or older.

v.) Email Usage

If you provide us with your e-mail address, or have done so in the past, we may upon occasion send you e-mail offers. We may use information you have given us to provide a service, ensure proper billing, measure consumer interest in our various services, or inform you about products and services. These e-mail offers will only come from Starhawk Systems LLC or one of its business units.

3. Global Users

As a user of the WorkforceBR.com and Starhawk Systems LLC services that is located outside of the United State of America, you understand and agree to abide by the rules outlined in this Terms of Service agreement, as well to abide by all of the relevant rules and regulations for your specific country.

4. Conditions of Use, Notices, and Revisions

By choosing to visit WorkforceBR.com, Starhawksystems.com or any other Starhawk Systems LLC service, you agree to abide by this Terms of Service agreement and any disputes that are associated with your privacy are to be arbitrated in Seattle, WA, as well as abide by the rules of the state of Washington.

5. Account Information Obligation

By agreeing to use this site and by agreeing to abide by the WorkforceBR.com and Starhawk Systems LLC Terms of Service, you agree to: (i) provide accurate, and current information about yourself as outlined in our registration forms (ii) maintain your data if it changes. If you provide any information that is untrue, inaccurate, not current or incomplete, or we have reasonable grounds to suspect that such information is untrue or inaccurate WorkforceBR.com and Starhawk Systems LLC retains the right to suspend or terminate your account and refuse any and all current or future use of the Service. This policy has been established in order to protect our interests and the safety of our users.

6. Member Account, Password and Security

You will receive a password and account designation upon completing the Service's registration process. You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password or account. You agree to immediately notify WorkforceBR.com and Starhawk Systems LLC of any unauthorized use of your password or account or any other breach of security, and ensure that you exit from your account at the end of each session. We cannot and will not be liable for any loss or damage arising from your failure to comply with this term of use.

7. User Conduct

You understand that all information, data and material, whether publicly posted or privately transmitted, are the sole responsibility of the person from which such Content originated. This means that you are entirely responsible for all Content that you upload, post, email or otherwise transmit via the services provided by WorkforceBR.com and Starhawk Systems LLC. WorkforceBR.com and Starhawk Systems LLC maintains the site content and data to the best of its ability, but does not guarantee that the information is accurate.

i) You agree to not use the Service to:

- upload, post, email or otherwise transmit any Content that is unlawful, threatening, abusive, obscene, harassing, defamatory, harmful, vulgar, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;

- harm minors in any way;

- use false identities

- impersonate Starhawk Systems employees, partners or affiliates

- inappropriately utilize content from any of the Starhawk Systems LLC web sites

- advertise, promote or communicate with system users in a way that is considered commercial;

- transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware

- interfere with users services

- Intentionally or unintentionally break any local, state, Federal or International laws

- Harass any service users

You understand and agree that WorkforceBR.com and Starhawk Systems have the right to cancel any or all of it’s services with a 24 hour notification. If fees have been paid for a service that will not be delivered, a refund will be provided to you. If a service has been delivered, refunds will not apply to you as a user. For online services, monthly subscriptions and other related services, refunds will only apply for the months following the month of cancellation. You understand that WorkforceBR.com and Starhawk Systems are not responsible for any 3rd party claims that are associated with the cancellation of our services beyond that of an appropriate refund.

Starhawk Systems reserves the right to cancel events, programs, seminars and online services at any time based on the discretion of the business. We do all that we can to ensure that all programs are delivered as scheduled, but due to unforeseen circumstances, some of our services need to be cancelled or rescheduled from time to time.

8. Indemnification

You agree to indemnify and hold harmless WorkforceBR.com and Starhawk Systems LLC and its contractors, employees, officers, partners and affiliates from any claims including attorneys' fees, made by any third party due to or arising out of the use of the Starhawk Systems LLC services, as well as due to any violations of the Starhawk Systems LLC Terms of Service.

9. Disclaimer regarding other servers and web sites

Other web sites listed on WorkforceBR.com or any other Starhawk Systems LLC web sites are not under the control of Starhawk Systems LLC. Links to these other resources are provided as a convenience and for informational purposes only. Starhawk Systems LLC bears no responsibility for the quality of information provided through other sites and computer systems. Accordingly, Starhawk Systems LLC makes no representation concerning the content of these web sites, and providing a link to these other sites should not be construed as an endorsement or approval by Starhawk Systems LLC of these organizations or of the positions they may take on various issues.

10. Content and Ownership Rights

You agree to and understand that all of the content, resources, software and systems that are used as part of the Starhawk Systems LLC services are copyrighted, owned by or leased by Starhawk Systems LLC. Additionally, information that is provided by 3rd parties may also be copyrighted, or owned by those 3rd parties. You have the right to use those materials that are presented only within the context of the Starhawk Systems LLC services and web sites. You are not provided with the right to use any of the information or services outside of this environment. All services and content are to be accessed and utilized by the means provided by Starhawk Systems LLC. You agree to not use any other means to access the services.

11. Service Level Agreement

Starhawk Systems does not guarantee the availability of the web site services, nor does it guarantee the schedules of events and related services. Due to circumstances that are beyond our control the site may or may not be available from time to time, and the events may or may not be available as originally scheduled. We will do all that we can to ensure that the products and services are available, but we can’t make a guarantee. As a user of our services, you understand and agree that it is reasonable to have down time and schedule changes as needed.

12. Disclaimer of Warranty

Starhawk Systems LLC web sites, and the information contained or generated at these sites, is furnished "AS IS" and "WITH ALL FAULTS". Starhawk Systems LLC disclaims and the user waives and releases any warranties (expressed or implied), liabilities and remedies of any kind, including without limitation any implied warranties of merchantability and fitness for a particular purpose. The information contained herein is for personal and professional use only. Any redistribution of this information without the written permission of Starhawk Systems LLC is strictly prohibited.

Without limitation of the foregoing, Starhawk Systems LLC does not warrant or guarantee the timeliness, sequence, accuracy or completeness of this information and it is provided "AS IS" and "WITH ALL FAULTS".

THERE ARE NO WARRANTIES, EXPRESS OR IMPLIED, AS TO THE RESULTS TO BE OBTAINED FROM USE OF SUCH INFORMATION.

Without limitation of the foregoing, neither Starhawk Systems LLC, nor its information providers, shall be liable regardless of the cause or duration, for any errors, inaccuracies, omissions, or other defects in, or the timeliness, or authenticity of the information, or for any delay or interruption in the transmission thereof to the user, or for any claims or losses arising therefrom or occasioned thereby. None of the foregoing parties shall be liable for any third-party claims or losses of any nature, or for any lost profits, punitive or consequential damages.

The information in the service is for the personal and professional use only. The client or user acknowledges and agrees that all proprietary rights in the information received shall remain the property of Starhawk Systems LLC or its information providers.

Reproduction, or retransmission of any information in the service without the written permission of Starhawk Systems LLC is strictly prohibited. The user also agrees not to use or permit anyone to use the information provided through the service for any unlawful or unauthorized purpose.

13. Failure to Use Services

Starhawk Systems LLC will not provide refunds for subscriptions, classes, seminars, programs or services that were missed due to a lack of attendance or unused on the part of the purchaser or user. All programs are non-refundable once the program has been delivered. You understand and agree that if you are not able to attend an event or fail to utilize the services provided, you are still responsible for the payment for the associated subscription, class, seminar, program or service.

14. Copyright and Trademark Notices

Starhawk Systems LLC, Starhawk Learning, Starhawk Systems, WorkforceBR.com and Workforce Business Review are all registered trademarks and service marks of Starhawk Systems LLC. All other products are trademarks of their respective holders.

All content contained on the Starhawk Systems LLC web sites, and in our printed program materials, books, magazines, emails, advertisements, and other digital, audio, video and print material are copyrighted materials.

15. Online Purchases

Purchase Terms for products, classes, seminars, white papers, subscriptions and related services are final with some specific exceptions for classes. Classes are refundable based on the terms outlined below. For all site purchases that cause Starhawk Systems to charge back the fee to your credit card, you agree to be responsible for a $15.00 processing fee.

Product or event information will be emailed to you upon the completion of your purchase. Some of our products require a processing fee which will be detailed during the check out/purchase process. Where appropriate, this fee will be added to your purchase automatically and displayed in the purchase details.

Please note the “Failure to Use Services” Policy outlined in section 13 above. Event cancellations are permitted within 24 hours of your initial purchase. If you need to cancel, there is a $50.00 processing fee. Refunds will be processed and mailed to you within 30 days of your cancellation notification. For Research Papers, White Papers, Article Reprints, Subscriptions and related services, no refunds are provided under any circumstances once the charges have been incurred.

16. Infringement Notification

If you believe that material on a Starhawk Systems LLC web site or on another Starhawk Systems LLC product has infringed your copyright or other intellectual property rights, please see our Infringement Notification below.

Infringement Notification

It is our policy at Starhawk Systems LLC to respect copyrights and other intellectual property rights. We may, in appropriate circumstances, terminate the accounts and/or the ability to post information of those who are repeat infringers of the intellectual property rights of others.

If you believe that material on a Starhawk Systems LLC web site or on another Starhawk Systems LLC product is infringing one or more copyrights or other intellectual property rights held by you or by someone on whose behalf you are authorized to act, please provide written notice to Starhawk Systems LLC. Include the following in your written notice:

(i) A physical or electronic signature of the person authorized to act on behalf of the owner of the exclusive right that is allegedly infringed.

(ii) An identification of the copyrighted work that you are claiming has been infringed, or, if the notice concerns more than one copyrighted work at a Starhawk Systems LLC web site or product, a representative list of those works.

(iii) A description of the material on our site that is claimed to be infringing or to be the subject of infringing activity, so that we can locate that material on our site or other product.

(iv) Your contact information, such as your address, telephone number, and email address, so we can get in touch with you.

(v) A statement by you that you have a good faith belief that the use of the material on our web site or other product is not authorized by the copyright owner, its agent, or the law.

(vi) A statement by you that the information in the notice is accurate and, under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
